First-pass deal diligence in minutes, not hours.

The MNPI-safe AI workflow for transaction professionals. A CIM lands. A data room opens. A diligence list expands. The partner wants the two-page version. The client wants the issue list. You do not need AI to think for you โ€” you need a better way to compress, organize, and prepare.

Built for ยท bankers, PE, corp dev, M&A advisors

This course shows you how to use Claude for the work around the decision: first-pass summarization, diligence organization, red-flag lists, meeting prep, buyer/seller questions, investment memo scaffolding, market research organization, and internal follow-up. CIMs, data-room triage, IC memos. The professional still decides what matters.

We do not ask Claude to evaluate the deal like a cartoon analyst. We use it to structure information, compare materials, extract issues, pressure-test assumptions, and turn scattered notes into something the room can actually use.

Listen: 5-Minute Course Overview

A spoken walk-through of the curriculum, the professional discipline framework, and what you leave with.

Read the transcript

If you work in investment banking, private equity, corporate development, or M&A advisory, you already know the problem. You have too much material to read and not enough time to read it carefully. A CIM lands on a Thursday afternoon. Diligence notes are scattered across three trackers. The IC memo section is due Friday morning. Your research files need to be organized before the management meeting Monday.

AI tools exist. You know they exist. But most of what you have seen is generic โ€” productivity content written for people who have never touched a data room. You need something built for the actual work: CIM review, deal summary drafting, market maps, investment thesis drafting, IC memo sections, data room triage, source verification. And you need it built around the professional obligations that govern your work โ€” NDAs, MNPI rules, firm policy, wall-crossing discipline, engagement letter terms.

That is what this course is.

The Leveraged Deal Professional is a 108-lesson self-paced course teaching Claude-anchored AI workflows for deal professionals operating inside investment banks, private equity firms, M&A advisory boutiques, corporate development teams, growth equity firms, search funds, and capital markets desks. Founding access is $395.

Who is this for?

Investment banking analysts and associates who need faster first-pass deal review. Private equity associates who need cleaner research organization and diligence tracking. M&A advisors who need to turn scattered notes into structured memos more efficiently. Corporate development professionals who need to prepare for management meetings faster. Anyone whose deal work involves repeated, structured, reviewable tasks โ€” and who wants to do those tasks more precisely without sacrificing professional judgment or confidentiality discipline.

This is not a course for people learning what investment banking is. It assumes you already operate around transactions. It teaches you how to use Claude safely within that work.

What does the course actually cover?

The course is organized into four main learning tracks.

The first track is setup and discipline. You build your DEAL_CONTEXT.md file โ€” a plain-text professional context file that anchors every Claude session to your role, your firm, your deal types, and your applicable restrictions. You learn the Red / Yellow / Green data classification system that separates what can touch AI tools from what cannot. You learn the tokenization regimen for sanitizing CIM and teaser content โ€” replacing client names, target names, project codes, customer identifiers, and financial identifiers with canonical tokens like Company Alpha, Target A, and Project Delta before any AI workflow begins. You complete the Foundation Gate: five professional acknowledgments covering clean room setup, sanitization discipline, full professional responsibility retention, manual source verification, and firm policy compliance. The Foundation Gate is not a formality. It is the professional posture that makes everything else safe to execute.

The second track is deal review, research, and drafting. You learn deal overview extraction โ€” how to use Claude to pull a structured business description, revenue model, customer segment summary, and diligence question list from sanitized deal materials. You learn CIM and teaser issue spotting, management presentation summarization, and first-pass deal summary memo drafting. Then you move to research organization: company profile workflows built from public sources, market map construction across competitors and buyers, public filing and transcript parsing using 10-Ks, 10-Qs, S-1s, and earnings transcripts, and buyer and investor research preparation. You learn to build a source pack verification ledger that separates provided facts, verified public information, and open analytical questions โ€” so every claim in your output traces back to a source.

The third track is red-teaming, diligence, and verification. You learn to code a skeptical investment committee persona in Claude and use it to pressure-test deal theses, valuation assumptions, market size claims, and growth projections before they reach senior review. You learn buyer objection and lender concern mapping, downside case question workflows, and data room triage โ€” how to turn a messy VDR file index into a structured work plan with categories, missing items, and follow-up assignments. You learn the hallucination screening habit for market and company facts, the deal professional liability firewall, and the supervision checklist that integrates with your firm's existing review practices.

The fourth track is your prompt vault and SOP binder. You build a personal prompt registry with 40-plus copy-and-paste deal prompts across 18 workflow categories. You version your workflows, log prompt failures, and run a 90-day calibration plan. You complete the course capstone: a 17-section SOP binder in fillable PDF, editable Word, and printable checklist formats โ€” your personal operating manual for AI-assisted deal work, customized to your role, your firm, and your applicable professional standards.

What does the core rule of this course say?

Claude drafts, organizes, summarizes, compares, and pressure-tests. The deal professional verifies, reviews, decides, escalates, and owns the work.

Claude is not the banker. Claude is not the investor. Claude is not compliance. Claude is not counsel. Claude is not the investment committee. You are.

The course is explicit about what Claude must never be used for: investment recommendations, valuation conclusions, fairness opinions, final diligence conclusions, MNPI handling decisions, wall-crossing decisions, or final client communications. Those remain with the professional.

What do you leave with?

You leave with a practical Leveraged Professional workflow system you can use on a live deal Monday morning. Faster first-pass CIM review. Cleaner research organization. More structured diligence tracking. Better-organized IC memo sections. A personal prompt vault. A 17-section SOP binder built for your practice. And the professional discipline to use all of it without exposing yourself, your firm, or your client.

Founding access is $395. The price rises to $795 as the production content set expands. No countdown clocks. No artificial urgency. The price moves when production maturity criteria are met.

If you are a deal professional who wants practical AI workflow leverage without sacrificing the professional standards your work depends on, this course was built for you.

01The problem

You do not need more information. You need a repeatable way to use it.

The work that quietly eats your week.

Most M&A, IB, private equity, and deal professionals are not behind because they lack intelligence. They are behind because every new tool feels like another thing to manage.

This course gives you a simpler way to use Claude, without turning yourself into a technical person.

  • Too much time spent on routine work
  • Too many messy inputs, never the same twice
  • Too much rewriting, organizing, and explaining
  • Too little time left for the work that actually matters
  • No clear way to use AI without feeling overwhelmed
02The promise

What the next ninety days can actually look like.

Before this course

Most weeks now

  • You write the same kind of email three different ways
  • You rewrite junior drafts past midnight
  • You explain the same ideas to clients in slightly worse versions
  • You experiment with AI tools and never go back to them
  • You finish the week behind on the work that matters
After this course

Most weeks after this.

  • Compress dense materials into clean, decision-ready summaries
  • Prepare diligence questions and red-flag lists in less time
  • Draft sharper internal memos and meeting prep
  • Organize opinions, risks, and follow-ups without losing the thread
03Who this is for

This course is for you if any of these sound like your week.

01

You work in M&A, IB, private equity, or corporate development

02

You read more material in a week than most people read in a year

03

You want sharper memos and faster diligence summaries

+ what it is not

If you want shortcuts that remove human review, this is not it.

Every workflow assumes a professional review layer. Judgment stays with you.

04What you can achieve

By the end of this course, you can.

The honest comparison across all four tiers.

Every tier ladders up. You can always start lower and step up. You cannot start at IV and step down, at that level the install is in your firm, not on your desk.

A four-week, four-step rhythm.

You can finish faster. Most members do not. The cadence is built so you actually use the work, not just consume it.

01
Week 1

Audit your week

Map your highest-friction repeat work, the recap, the memo, the email, the review.

02
Week 2

Build the vault

Construct your custom Prompt Vault for the work you actually run, by profession, not by hobby.

03
Week 3

Senior review layer

Install the 15-Minute Senior Review Protocol so AI drafts, you decide.

Week 4

Hand it off

Write your operating manual so a junior or a successor can run the same system.

09What you leave with

Concrete deliverables, not modules.

Five working artifacts for the way diligence and IC actually run โ€” yours after Friday, yours next deal, yours next vintage.

Deliverable ยท 01

Diligence compression workflow

An 80-page CIM into a one-page decision memo with assumptions and open questions, every time.

Deliverable ยท 02

IC memo first-draft workflow

A clean first-draft IC memo you finish โ€” not a finished memo you start over at 11pm.

Deliverable ยท 03

Management presentation recap workflow

Turn a three-hour management session into a structured recap with the questions you didn't ask yet.

Deliverable ยท 04

Source/sink question generator

A pattern for generating the next ten diligence questions before the next management call.

Deliverable ยท 05

Risk and assumption flagging checklist

A line-by-line review pattern that separates what's verified from what's modeled before circulation.

10Look inside the course

A peek at what's actually in the binder.

No mood board. A real lesson list, a real prompt, a real checklist, a real working moment.

Lesson preview

Module 02 ยท Diligence Compression โ€” 80 Pages to 1

From a CIM you don't have time to read to a memo you can walk into IC with.

Lesson preview

Module 05 ยท The IC Memo First Draft

A repeatable scaffold for the section nobody enjoys writing.

Lesson preview

Module 09 ยท The 15-Minute Senior Review

A short, defensible review layer between Claude and IC circulation.

Sample prompt ยท diligence compression

Here is the CIM for [target redacted]. Compress into a one-page decision memo for IC: business in one sentence, three reasons to buy, three reasons not to, three assumptions to test, and three follow-up questions for management. Flag anything I should verify before circulating. Cite each claim back to a page in the source.

Sample checklist ยท IC-ready review
  1. 01. Have deal-specific identifiers and any MNPI been excluded from the session?
  2. 02. Are assumptions separated from verified facts in the memo?
  3. 03. Are sources cited line-by-line back to the underlying document?
  4. 04. Have you removed anything Claude inferred without supporting evidence?
  5. 05. Would you walk this memo into IC and defend every line, today?
Practical use ยท one Tuesday

Tuesday, 9am: an 80-page CIM and a 6pm IC meeting. By 9:24am, you have a one-page decision memo with assumptions and open questions โ€” for your review.

11Before / After

What changes on a normal Tuesday.

Same deal, same committee, same standard. The difference is the first hour.

Before

The way the deal moves now

  • An 80-page CIM and a 6pm IC meeting
  • A management call you didn't quite know how to lead
  • A model output you can't explain in one sentence
  • A junior's memo waiting for your red pen at midnight
After

The way it can move instead.

  • A one-page decision memo with assumptions and open questions โ€” for your review
  • The next ten diligence questions, generated before the next call โ€” for your review
  • A plain-English summary of the model output โ€” for your review
  • A junior's memo red-teamed before you read it โ€” for your review
12How Claude fits into your work

Three modes. Used differently.

There isn't one way to use Claude โ€” there are three. The course teaches when to use each, and when not to.

Mode ยท 01

Claude Chat

Thinking, drafting, summarizing, and improving day-to-day work.

Example: pressure-testing a thesis the morning before a management call.

Mode ยท 02

Claude Cowork

Ongoing work that benefits from context, continuity, and repeated collaboration.

Example: your deal folder, your firm's IC tone, your diligence checklists โ€” kept consistent across processes.

Mode ยท 03

Claude Code

Structured projects: complex file structures, organizing large sets of documents, and simple private internal dashboards.

Example: a private internal dashboard tracking diligence open items across a portfolio.

The Leverage Years teaches when to use each, and when not to.

Plan requirements: Claude Chat runs on any Claude plan. Cowork and Code require a paid Claude subscription (Pro / Max / Team / Enterprise) and the Claude Desktop app on macOS or Windows. They're not available on the free plan, on web, or on mobile.

13Professional boundaries

Claude shouldn't replace your judgment. It should remove the first-pass burden so your judgment has more room to matter.

Confidentiality

The Never Upload List is enforced from the first lesson. Deal codes, target identifiers, and MNPI stay off Claude.

Professional judgment

You decide, every time. Claude drafts, organizes, and pressure-tests. The investment view is yours and stays yours.

Review obligations

Every workflow ends at a senior review gate โ€” the 15-minute checklist before anything circulates to IC.

Firm policy

A policy template is included so you can hand a written standard to your team, your compliance lead, or your IC chair.

LP and counterparty trust

There's no shortcut around it. Speed never substitutes for the discipline LPs and counterparties expect.

Sensitive information

The sanitization rules give you a plain-English Red / Yellow / Green model โ€” what to remove, what to mask, what's safe.

Human review is required before anything circulates. That's the rule from day one โ€” and the rule on day three hundred.
